These Terms of Service ("Terms") govern access to and use of the website located at optint.ai and the spend optimization and analytics services provided by Bluestone Pacific Pte. Ltd. (Singapore UEN: 201632973E), doing business as Optint ("Optint", "we", "us", or "our").
By accessing our website, purchasing an offer via the Microsoft Commercial Marketplace, or uploading financial data for an Optimization Scan, you ("Customer" or "you") agree to be bound by these Terms.
1.1. Scope of Service. Optint provides spend intelligence, duplicate software discovery, and contract optimization analysis (the "Services"). The Services analyze historical and current accounting records, accounts payable (AP) ledgers, corporate card feeds, and general ledger exports provided by Customer.
1.2. Read-Only / Non-Invasive Architecture. Optint operates on read-only financial data provided by Customer. Optint does not install agents, access live enterprise operational networks, deploy single sign-on (SSO) scrapers, or modify Customer infrastructure or software configurations.
1.3. Independence. Optint is an independent optimization platform. We do not sell enterprise software, resell third-party software licenses, or receive commissions, referral fees, or kickbacks from any software vendor whose spend or contracts we evaluate.
2.1. Authority. Customer represents and warrants that it has all necessary corporate power, licenses, and rights to provide the financial exports, transaction registers, and vendor contracts submitted to Optint for analysis.
2.2. Accuracy of Data. Optint’s findings, baselines, and reports depend on the integrity and completeness of the data provided by Customer. Optint is not responsible for errors or omissions arising from inaccurate, manipulated, or incomplete source files supplied by Customer.
2.3. Prohibited Information. Unless explicitly agreed in writing under a separate data handling agreement, Customer agrees not to submit consumer payment card numbers (PAN/CVV), individual health records, or consumer-facing personal data unnecessary for corporate accounts payable reconciliation.

We do not sell personal information. We do not use your financial data or personal information to train public AI models.
3.1. Customer Data Ownership. Customer retains all right, title, and interest (including all intellectual property rights) in and to all financial exports, contracts, and vendor data provided to Optint ("Customer Data"). Optint receives no intellectual property rights in Customer Data other than the limited right to process it to deliver the Services.
3.2. Optint Intellectual Property. Optint (and its licensors) retains all rights, title, and interest in and to the Services, proprietary categorization engines, machine learning heuristics, report formats, user interfaces, documentation, and all associated trade secrets and software.
3.3. Aggregated & Anonymized Benchmarks. Optint may generate aggregated, anonymized industry spend benchmarks and statistical metrics that do not identify Customer or disclose confidential pricing, which Optint may use to enhance and train its analytical models.
4.1. Commercial Marketplace Transactions. If Customer purchases or accesses Optint through the Microsoft Commercial Marketplace (or an authorized reseller/distributor), invoicing, fee schedules, tier renewals, and payment collection are governed by Microsoft’s commercial terms and the specific plan terms agreed at checkout.
4.2. Fee Calculation. Where services are rendered on an agreed fixed-fee tier or baseline verification model, fees become payable as specified in the applicable Order Form or Marketplace plan selection. Unless otherwise stated, all stated fees are exclusive of applicable indirect taxes (such as GST or VAT), which Customer will pay where required by law.
5.1. Definition. "Confidential Information" includes all business, financial, technical, and operational data disclosed by either party, including Customer’s AP extracts and Optint’s pricing and reconciliation deliverables.
5.2. Protection. Each party agrees to protect the other’s Confidential Information with the same degree of care it uses for its own sensitive data (and no less than reasonable care), and to restrict access solely to employees, contractors, and legal advisors who need to know such information to fulfill obligations under these Terms.
6.1. No Fiduciary or Formal Audit Advice. Optint is an analytical spend-optimization intelligence platform. Findings, potential savings calculations, and contract drift notifications are commercial management insights—they do not constitute formal certified public accounting audits, tax advice, investment advice, or legal opinions.
6.2. Customer Discretion. Customer retains sole discretion over all vendor interactions, license renewals, contract cancellations, or enterprise procurement renegotiations.
6.3. Warranty Disclaimer. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY.
Limitation of Liability

7.2. Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTINT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CUSTOMER TO OPTINT UNDER THE APPLICABLE PLAN DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Term & Termination
8.1. Term. These Terms remain in effect for the duration of any active subscription, evaluation period, or scan agreement.
